Corporate Governance

The Board of Directors is responsible for the overall performance of the Company including the establishment and maintenance of good corporate governance. By this we mean the processes by which the Company is directed, controlled and held to account. It is concerned with improving the performance of the Company for the benefit of all stakeholders such as our investors and shareholders.

The Managing Director is responsible for the day to day operations of the Company, subject to any particular limits or restrictions set by the Board.

Under the Board Charter, the Board's responsibilities include:

  • overall responsibility for the strategic direction of the Company;
  • appointment of the Managing Director and management succession;
  • key decision making such as budgets, strategic plans, acquisition proposals and significant capital expenditure;
  • reviewing financial information;
  • monitoring code of conduct compliance:
  • monitoring compliance with the law, trust deed and other regulatory requirements; and
  • ensuring an informed market exists at all times.   
                                             
Some of these functions are referred to Board committees, whose role is to report and make recommendations to the Board as a whole.
